This Futex.ai Terms of Service (“Agreement”) is entered into by and between Futex.ai (“Futex”) and the entity or person accessing our services (“Customer”). This Agreement consists of the terms and conditions below and any written agreement, proposal, or invoice issued by Futex to the Customer. The “Effective Date” of this Agreement is the date when the Customer first engages Futex for services, whether through online communication, direct booking, or confirmed project scope.
This Agreement governs the Customer’s initial engagement as well as any future services provided by Futex that reference or align with this Agreement. Futex may update these terms from time to time, with changes reflected on our website at futexai.com.
Capitalized terms shall have the meanings set forth in Section 1, or in the section where they are first used.
1. Definitions
1.1 “AI Services” refers to any AI-related service provided by Futex, including but not limited to consulting, system integration, workflow automation, chatbot/agent setup, and AI tool development.
1.2 “Customer Content” means any data, instructions, documents, files, or other materials provided by the Customer to Futex during the course of services.
1.3 “Deliverables” means any custom tools, automations, systems, documentation, or assets created by Futex specifically for the Customer.
1.4 “Users” refers to any employees, contractors, or agents working under or on behalf of the Customer who benefit from or interact with Futex’s services.
1.5 “Engagement” means any paid or formal collaboration between Futex and a Customer, including AI audits, integration projects, or ongoing support agreements.
2. Services and Use Rights
2.1 Scope of Services
Futex provides consulting and implementation services to help businesses integrate AI into their operations. Services may include setup of automation tools, development of AI workflows, connection to third-party APIs, and training on AI usage.
2.2 Access and Tools
Where applicable, Futex will provide access to third-party platforms (e.g., chatbots, automation tools) that are integrated as part of the engagement. Futex is not responsible for the ongoing performance or policy changes of these third-party services.
2.3 Customer Responsibilities
Customers are responsible for providing accurate information, access credentials (if needed), and feedback throughout the engagement. Futex is not liable for delays or issues resulting from missing or incorrect input.
2.4 Ownership
All Deliverables created for the Customer under a paid engagement become the property of the Customer upon full payment, unless otherwise agreed in writing. Futex retains the right to reuse non-proprietary templates or frameworks.
3. Payments
All payments are due based on the payment terms outlined in the invoice or proposal. Late payments may result in paused services. Custom projects may require a deposit.
4. No Guarantees
While Futex strives for high-impact results, we do not guarantee specific business outcomes. The effectiveness of AI systems can vary depending on how they are maintained, used, and updated over time.
5. Termination
Either party may terminate a service agreement with written notice. In the event of termination, the Customer will be responsible for payment of services rendered up to the termination date.
6. Modifications
Futex may update these terms from time to time. Any changes will be posted to futexai.com and take effect immediately upon posting.
